About the Opportunity:
We are seeking an Associate who demonstrates exceptional attention to detail, strong organizational skills, and the ability to proactively manage tasks while meeting strict deadlines. A hybrid work schedule is available for this role.

Key responsibilities can include:

• Manage a caseload of litigation files from inception to final resolution.
• Manage discovery matters, including taking and defending depositions, and drafting and responding to written discovery requests.
• Conduct legal research and draft legal documents, including pleadings, motions, and briefs.
• Prepare for and attend court proceedings, arbitrations, administrative hearings, and mediations.
• Communicate with clients, opposing counsel, and other parties involved in the litigation process.
• Collaborate with colleagues on complex legal issues and strategies.
• Form and organize LLCs, corporations, and other business entities, including drafting operating agreements, shareholder agreements, and governance policies.
• Advise owners, executives, and boards on ongoing governance, compliance, and business operations.
• Draft, review, and negotiate a wide range of commercial contracts, including service agreements, vendor and supply agreements, employment and contractor arrangements, and other operational contracts.
• Represent buyers and sellers in small- to middle-market M&A transactions, including asset and equity deals.
• Structure, draft, and negotiate purchase agreements and ancillary transaction documents.
• Coordinate and perform due diligence, identify legal risks, and develop practical, strategic solutions.
• Assist closely held and family-owned businesses with leadership transition planning, ownership transfers, and buy-sell agreement strategies.
• Provide practical, business-focused guidance to help clients achieve commercial goals and manage risk.

About You:

The ideal candidate for this role holds a Juris Doctor (J.D.) from an accredited law school and is licensed to practice law in Michigan, or is eligible for immediate admission. This individual also has an interest in insurance defense, business succession planning, mergers and acquisitions, and/or operation agreements.
